These Terms of Service (“Terms”) govern your access to and use of our websites, services, programs, memberships, studio spaces, workshops, events, digital products, communities, consulting, content systems, media production services, and any related offerings provided by Merakairos Media LLC.
By accessing our websites, purchasing our services, booking studio time, joining a program or membership, attending an event, using our facilities, or participating in any Merakairos offering, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use our services.
We believe in clarity, stewardship, and creating valuable experiences for founders, creators, brands, teams, and community members.
These Terms form a legally binding agreement between you and Merakairos Media LLC. Please read them carefully before purchasing, booking, joining, or participating in any Merakairos offering.
Merakairos Media LLC provides brand, content, media, community, studio, and business growth services. Our offerings may include, but are not limited to:
The SCALE Content Demand Engine, a strategic content and demand generation system designed to help founders, brands, and service-based businesses clarify their message, create content, build trust, generate demand, and support client acquisition.
Merakairos Media services, including content strategy, brand messaging, creative direction, video production, podcast production, social media content, distribution strategy, campaign strategy, funnel strategy, and related consulting or done-for-you services.
MK Makers Network, a community and membership experience for founders, creators, business owners, experts, service providers, and makers seeking connection, collaboration, content education, business growth, and community-driven opportunities.
The MK LAB Studios, including studio rentals, podcast rooms, photo and video studio access, content production spaces, events, pop-ups, workshops, brand activations, and related studio services.
Workshops, intensives, live sessions, trainings, masterclasses, digital resources, templates, frameworks, events, and educational content.
Additional services, products, or programs may be offered from time to time through our websites, proposals, checkout pages, invoices, contracts, or written agreements.
Our services are intended for individuals and businesses who are at least 18 years old.
By using our services, you confirm that:
You are at least 18 years of age.
You have the legal authority to enter into this agreement.
If you are purchasing or using our services on behalf of a business, organization, or entity, you have authority to bind that entity to these Terms.
You will provide accurate and complete information when purchasing, booking, applying, or registering.
You will use our services only for lawful purposes.
We reserve the right to refuse service, cancel access, decline applications, or terminate participation at our sole discretion.
All prices are listed in U.S. Dollars unless otherwise stated.
By purchasing, booking, subscribing, or enrolling in any Merakairos service, you authorize Merakairos Media LLC and/or its payment processors to charge your selected payment method for the agreed-upon amount.
Payment terms may vary depending on the service, offer, contract, invoice, checkout page, subscription, or written agreement.
Payments may include:
One-time payments.
Recurring subscriptions.
Payment plans.
Deposits.
Retainers.
Studio rental fees.
Membership fees.
Event registration fees.
Production fees.
Custom service agreements.
You agree to make all required payments on time. Failure to make timely payments may result in suspension or termination of access to services, community benefits, studio bookings, deliverables, or other Merakairos offerings.
If you choose a payment plan or subscription, you authorize us to charge your payment method according to the agreed billing schedule until the total balance is paid in full or until your subscription is properly canceled in accordance with these Terms.
Payment plans are not subscriptions unless expressly stated. A payment plan is a commitment to pay the full agreed purchase amount over time.
You remain responsible for all scheduled payments, regardless of your level of participation, usage, satisfaction, implementation, or results.
If a payment fails, you agree to promptly update your payment method. We may attempt to reprocess failed payments and may suspend access until your account is current.
Unless otherwise stated in a separate written agreement, checkout page, or offer-specific policy, all sales are final.
Merakairos Media LLC does not guarantee refunds for services, programs, memberships, studio rentals, workshops, events, digital products, consulting, production services, or custom work.
By purchasing our services, you acknowledge and agree that:
You are responsible for reviewing the offer before purchasing.
You are making a commitment to the selected service, membership, booking, or program.
No refunds are guaranteed due to lack of participation, scheduling conflicts, dissatisfaction, change of mind, lack of implementation, business changes, or failure to achieve specific results.
Payment obligations remain in effect even if you choose not to use or complete the service.
Any exceptions to this policy must be approved in writing by Merakairos Media LLC.
Cancellation terms may vary by service.
For monthly memberships or subscriptions, you must provide written cancellation notice at least 10 days before your next billing date to avoid future charges, unless a different cancellation period is stated in your agreement or checkout terms.
Cancellation does not entitle you to a refund of amounts already paid.
Upon cancellation, your access to certain benefits may be discontinued, including community access, live sessions, updates, studio privileges, member pricing, digital resources, private channels, or other active membership benefits.
For studio rentals, event bookings, production days, workshops, and custom services, cancellation and rescheduling terms may be listed separately in the applicable booking agreement, invoice, proposal, checkout page, or studio policy.
The MK LAB Studios provides access to creative spaces, podcast rooms, photo and video studios, production areas, equipment, events, and related facilities.
By booking or using The MK LAB Studios, you agree to:
Use the space respectfully, responsibly, and lawfully.
Follow all posted rules, staff instructions, safety guidelines, and booking policies.
Arrive and exit within your booked time.
Leave the studio, equipment, furniture, and common areas in the condition you found them.
Be responsible for any guests, team members, clients, vendors, contractors, or attendees you bring into the space.
Be financially responsible for any damage, loss, excessive cleaning, missing equipment, or misuse caused by you or your guests.
Not use the space for illegal, dangerous, harmful, obscene, abusive, hateful, or unauthorized activities.
Not exceed the agreed capacity, use, or booking scope without prior approval.
Merakairos Media LLC reserves the right to deny access, remove individuals, cancel bookings, or terminate studio use if we believe conduct is unsafe, disruptive, unlawful, damaging, or inconsistent with our standards.
If your booking, membership, or service includes access to studio equipment, you agree to use all equipment responsibly and only for its intended purpose.
You may not remove equipment from the premises without written permission.
You are responsible for any damage, theft, loss, or misuse of equipment caused by you, your team, your guests, your vendors, or your clients.
Merakairos may require replacement, repair, cleaning, or reimbursement fees for damaged, missing, or misused equipment.
The MK LAB Studios and Merakairos Media events are creative environments where photography, video, audio, behind-the-scenes content, social media content, and promotional media may be captured.
By entering our facilities, attending our events, participating in our programs, or using our services, you acknowledge that you may be photographed, filmed, recorded, or otherwise captured in connection with Merakairos operations, events, marketing, social media, documentation, or promotional materials.
Unless otherwise agreed in writing, you grant Merakairos Media LLC permission to use your name, likeness, image, voice, business name, brand, testimonial, appearance, and participation in content captured by or for Merakairos for marketing, promotional, educational, editorial, and commercial purposes.
If you do not want to be photographed, filmed, or recorded, you must notify Merakairos in writing before attending or participating. We will make reasonable efforts to accommodate requests but cannot guarantee exclusion from all background or event-related media.
For Merakairos Media services, including strategy, content production, podcast production, video editing, creative direction, campaigns, or related deliverables, the specific scope of work will be described in the applicable proposal, invoice, statement of work, checkout page, or written agreement.
Unless otherwise agreed in writing:
You retain ownership of the original brand assets, trademarks, logos, raw materials, and content you provide to us.
Merakairos retains ownership of its proprietary processes, frameworks, systems, templates, workflows, methods, strategy documents, internal tools, and creative systems.
Final deliverables created specifically for you may be used by you for your business once payment has been made in full.
Raw files, project files, working files, internal documents, editing files, and production assets are not included unless expressly stated in writing.
Merakairos may use completed work, results, behind-the-scenes content, clips, screenshots, designs, campaigns, and deliverables in its portfolio, case studies, website, social media, sales materials, and marketing unless prohibited by a separate written agreement.
You are responsible for providing timely access, information, assets, approvals, feedback, passwords, brand materials, account access, and any other items needed for Merakairos to perform the agreed services.
Delays in providing required materials may delay timelines, deliverables, launches, production, or results.
You are responsible for ensuring that any materials you provide to Merakairos do not infringe on the rights of any third party, including copyrights, trademarks, privacy rights, publicity rights, or contractual obligations.
You are responsible for reviewing and approving final content, claims, messaging, ads, offers, legal disclaimers, compliance language, and public-facing materials before use.
Members of MK Makers Network, Merakairos communities, workshops, events, and programs are expected to conduct themselves with professionalism, respect, integrity, and good faith.
You agree not to:
Harass, threaten, abuse, defame, discriminate against, or harm other members, guests, staff, clients, or partners.
Spam, solicit, pitch aggressively, or misuse community access.
Share confidential information from other members or Merakairos.
Misrepresent your identity, results, business, services, or affiliation with Merakairos.
Record, copy, distribute, or share private sessions, calls, resources, or community content without permission.
Use the community to promote competing services, products, events, or communities without written approval.
Merakairos reserves the right to remove posts, restrict access, suspend memberships, or terminate participation at our sole discretion if conduct violates these Terms or harms the community experience.
All Merakairos content, systems, frameworks, methods, strategies, curriculum, trainings, documents, templates, videos, audio, designs, graphics, logos, brand assets, website content, community content, program materials, and related resources are protected by copyright, trademark, trade secret, and other intellectual property laws.
This includes, but is not limited to, Merakairos, the SCALE framework, SCALE Content Demand Engine, MK Makers Network, The MK LAB, related brand assets, proprietary methods, educational materials, workshop materials, and internal systems.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our materials for your own personal or internal business use only.
You may not:
Copy, reproduce, distribute, sell, license, publish, or publicly share our materials.
Use our materials to create competing products, programs, courses, communities, agencies, studios, or services.
Share your login, membership, studio access, or program materials with unauthorized people.
Resell, white-label, repackage, or claim our systems, frameworks, or materials as your own.
Use Merakairos brand assets, trademarks, logos, or trade names without written permission.
Record, download, scrape, or redistribute private trainings, calls, workshops, or resources.
Unauthorized use of our intellectual property may result in termination of access and legal action.
During your participation in Merakairos services, you may receive access to confidential, proprietary, or sensitive information belonging to Merakairos or other members, clients, partners, or participants.
You agree not to disclose, share, copy, publish, or use confidential information for any purpose outside your authorized participation.
Confidential information may include business strategies, financial information, client information, personal stories, member discussions, internal processes, templates, pricing, account access, production systems, marketing plans, and private community conversations.
Your privacy matters to us. Our Privacy Policy explains how we collect, use, store, and protect your information.
By using our websites, services, communities, studio spaces, programs, and platforms, you consent to our collection and use of information as described in our Privacy Policy.
We may use third-party platforms and service providers to operate our business, including payment processors, CRM platforms, email systems, community platforms, scheduling tools, analytics tools, advertising platforms, and hosting providers.
Merakairos provides strategy, systems, education, creative services, content support, studio access, community, and implementation resources based on our experience and best practices.
However, we do not guarantee specific results.
You acknowledge that business, brand, content, marketing, revenue, audience growth, lead generation, and client acquisition results vary based on many factors, including your offer, market, consistency, implementation, budget, industry, audience, sales process, economic conditions, and other circumstances outside of our control.
We do not guarantee:
Specific revenue, profit, sales, leads, views, followers, clients, bookings, conversions, or business growth.
That any content, campaign, funnel, strategy, offer, platform, or system will perform in a specific way.
That you will achieve results within a specific timeframe.
That our services are suitable for every business model, market, platform, or situation.
Any testimonials, case studies, examples, projections, or success stories are not guarantees of your results.
Our content, coaching, consulting, trainings, workshops, templates, frameworks, and community discussions are provided for educational and informational purposes only.
Nothing provided by Merakairos should be considered legal, financial, tax, investment, medical, or professional advice.
You are responsible for consulting your own attorneys, accountants, financial advisors, compliance professionals, or other qualified professionals before making decisions that may affect your business, finances, legal rights, or obligations.
Merakairos may use, recommend, integrate with, or provide guidance related to third-party platforms, tools, software, social media platforms, CRMs, ad platforms, payment processors, community platforms, scheduling platforms, analytics tools, or other services.
We are not responsible for the availability, performance, pricing, policies, errors, security, outages, changes, or actions of third-party platforms.
Your use of third-party platforms may be subject to their own terms, policies, and fees.
We enjoy celebrating the success, progress, and stories of our clients, members, partners, and community.
By sharing feedback, testimonials, results, wins, screenshots, comments, messages, reviews, social media posts, video interviews, or success stories with Merakairos, you grant Merakairos Media LLC permission to use your name, likeness, business name, brand, image, voice, content, and shared results in our marketing, website, social media, ads, emails, presentations, case studies, sales materials, and other promotional channels.
We may edit testimonials for clarity, length, grammar, formatting, or context, while maintaining the authentic meaning of your feedback.
If you would like a testimonial removed from future marketing materials, please contact us. We will make reasonable efforts to remove it from future use, though we cannot guarantee removal from materials already published, distributed, printed, archived, or shared by third parties.
You agree not to use Merakairos websites, services, studios, communities, events, or materials for any unlawful, harmful, fraudulent, abusive, or unauthorized purpose.
You may not:
Violate any applicable law or regulation.
Infringe on the rights of Merakairos or any third party.
Upload or share content that is illegal, defamatory, obscene, hateful, discriminatory, threatening, or harmful.
Interfere with the operation of our websites, platforms, services, communities, or studio spaces.
Attempt to gain unauthorized access to our systems, accounts, platforms, private materials, or member areas.
Use our services to create or promote competing products, services, communities, studios, agencies, frameworks, or programs.
Engage in conduct that harms Merakairos, our clients, members, guests, employees, contractors, partners, or community.
Merakairos Media LLC may suspend, restrict, or terminate your access to any service, membership, program, event, community, studio booking, platform, or material at any time if we determine, in our sole discretion, that:
You violated these Terms.
You failed to make required payments.
You misused our services, content, facilities, or community.
Your conduct is harmful, unsafe, disruptive, unlawful, or damaging.
Your participation creates risk for Merakairos, our clients, members, team, guests, partners, or brand.
Termination does not release you from any outstanding payment obligations.
To the maximum extent permitted by law, Merakairos Media LLC shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, business opportunities, goodwill, reputation, or anticipated savings arising out of or related to your use of our websites, services, programs, memberships, studio spaces, communities, events, content, or materials.
Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the amount you paid to Merakairos Media LLC for the specific service giving rise to the claim during the three months preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless Merakairos Media LLC, its owners, officers, employees, contractors, agents, affiliates, partners, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
Your use of our services, facilities, content, programs, or platforms.
Your violation of these Terms.
Your violation of any law or regulation.
Your infringement or alleged infringement of any third-party rights.
Any content, materials, claims, testimonials, data, or assets you provide to us.
The actions of your guests, team members, contractors, vendors, clients, or attendees while using our services or facilities.
Before filing any legal claim, you agree to first contact Merakairos Media LLC in good faith to attempt to resolve the issue informally.
If a dispute cannot be resolved informally, any dispute arising out of or relating to these Terms, our services, our websites, our facilities, or your relationship with Merakairos Media LLC shall be resolved through binding arbitration in San Diego County, California, unless otherwise required by law.
You agree to waive any right to participate in a class action, class arbitration, collective action, or representative action.
Each party shall be responsible for its own attorneys’ fees and costs unless otherwise required by law or awarded by the arbitrator.
These Terms shall be governed by and interpreted in accordance with the laws of the State of California, without regard to conflict of law principles.
Any permitted court action shall be brought in the state or federal courts located in San Diego County, California.
We reserve the right to update, modify, or replace these Terms at any time.
Changes will be effective upon posting on our website or otherwise making the updated Terms available.
Your continued use of our websites, services, programs, memberships, communities, studio spaces, events, or materials after changes are posted constitutes your acceptance of the updated Terms.
These Terms, together with any applicable proposals, invoices, checkout terms, booking policies, studio policies, order forms, statements of work, membership terms, or written agreements, constitute the entire agreement between you and Merakairos Media LLC regarding your use of our services.
If there is a conflict between these Terms and a separate written agreement signed by both parties, the signed written agreement will control for that specific service.
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
